GracefulNest may facilitate communications between buyers and suppliers, including product inquiries, requests for quotations (RFQs), and business introductions.

Unless expressly stated otherwise:

• GracefulNest is not a party to any contract, purchase order, or commercial agreement between buyers and suppliers.
• All pricing, payment terms, shipping arrangements, warranties, and contractual obligations are negotiated directly between the parties.
• Each party is solely responsible for fulfilling its contractual commitments.

GracefulNest does not guarantee transaction completion, payment collection, or product performance.

Users are responsible for ensuring compliance with all applicable laws and regulations, including but not limited to:

• U.S. import regulations.
• Export control laws.
• Customs requirements.
• Product safety requirements.
• Labeling and certification requirements.
• Economic sanctions and restricted-party regulations.

Suppliers represent that their products may be legally exported and sold in the markets they target.

All content on the Site, including logos, trademarks, branding, designs, text, graphics, software, and other materials, is owned by GracefulNest or its licensors and is protected by applicable intellectual property laws.

Users may not copy, reproduce, distribute, modify, or exploit Site content without prior written permission from GracefulNest.

By submitting product listings, company profiles, reviews, testimonials, images, or other content to the Site, you grant GracefulNest a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and promote such content in connection with operating and marketing the Site.

You represent that:

• You own or have the necessary rights to the content.
• The content does not infringe any third-party rights.
• The content is accurate and not misleading.

The Site and its services are provided on an "as is" and "as available" basis.

Users assume all risks associated with evaluating business opportunities and conducting transactions.

To the fullest extent permitted by law, GracefulNest shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

• Use of or inability to use the Site.
• Transactions between buyers and suppliers.
• Product defects, delays, shortages, or quality issues.
• Business interruptions, lost profits, or loss of data.

Our total liability for any claim related to the Site shall not exceed the amount paid, if any, by the user to GracefulNest during the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless GracefulNest, its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, or expenses arising from:

• Your violation of these Terms.
• Your use of the Site.
• Any transaction or dispute involving your company.
• Violation of applicable laws or regulations.

We reserve the right to modify, suspend, or discontinue any portion of the Site at any time.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.
